The Customer shall take all necessary and reasonable steps (and shall ensure that the auditor, if any, does the same) to prevent any damage to Habiata's premises, facilities and personnel and/or any interruption of Habiata's business during the audit.
12.3. The Customer's information and audit rights exist under Section 12 only to the extent that the DPA does not otherwise provide information and audit rights that meet the relevant requirements of the Data Protection Laws.

- (ii) the relevant information is already in the public domain
14.2. Notices - All notices and communications given under this DPA shall be in writing and shall be delivered by hand, sent by post by registered post or sent by e-mail to the address or e-mail address set out in the Purchase Order or such other address as may be notified by the Parties from time to time.
15. NON-COMPLIANCE WITH CLAUSES AND TERMINATION
15.1. The validity of the DPA is linked to the validity and existence of the contract for the provision of services, evidenced by the signing of the Purchase Order, subject to the obligations that continue to apply thereafter.
15.2. Without prejudice to Data Protection Laws, in the event of a breach by Habiata of its obligations under this DPA, Customer may instruct Habiata to suspend the processing of personal data until Habiata has complied with this DPA or the DPA is terminated. Habiata shall promptly inform the Customer if it is unable to comply with this DPA for any reason.
15.3. The Customer is entitled to terminate the DPA if:

ANNEX I
TECHNICAL AND ORGANISATIONAL MEASURES, INCLUDING TECHNICAL AND ORGANISATIONAL MEASURES TO ENSURE DATA SECURITY
Description of the technical and organisational security measures implemented by Habiata (including any relevant certification) to ensure a level of security appropriate to the nature, scope, context and purpose of the processing and the risks to the rights and freedoms of natural persons:
Data Classification
Habiata identifies the personal and sensitive data processed on behalf of the Customer and assigns each category a protection level. The controls below represent the minimum measures applied to each level. This classification is reviewed when new features or integrations are introduced.
| Protection level | Examples | Controls applied |
|---|---|---|
| Critical — integration secrets | Third-party connection credentials used to connect email, calendar, or similar services on the Customer's behalf | Strong application-layer encryption; encryption keys held only in secure server environments, not exposed to end-user devices; access limited to authenticated server-side processes acting on documented instructions |
| High — authentication data | Passwords, session tokens, multi-factor authentication codes, and account verification or password-reset codes | Managed by a dedicated identity service; not stored in plain text in Habiata databases; short-lived sessions; verification and reset codes are single-use and expire after a short period |
| High — personal data | Names, contact details, synced communications content and metadata, calendar information, and other data identifying or describing individuals | Encryption at rest and in transit; access restricted to the account owner and authorised workspace members; retention limits as set out in the Agreement and Privacy Policy |
| Medium — business content | Property listings, deals, documents, notes, and other workspace content with limited personal overlap | Role-based and company-scoped access controls; encryption at rest and in transit; encrypted backups |
| Low — operational data | Service logs, audit metadata, and anonymised usage metrics that do not include message or document content | No credentials, tokens, or message content in logs; retention limited to what is necessary for security and reliability |
| Third-party security assessment | Google OAuth and API integration (Gmail, Google Calendar) | CASA Tier 2 validated by a Google-authorized assessor under the App Defense Alliance; Letter of Validation available on request |
Control Environment
Habiata's ongoing risk assessment and management process includes a periodic review of its organisational structure to help meet changing commitments and system requirements.
Communication and Information
Habiata logs critical information including, but not limited to, development, financial transactions, payroll and expenses. Habiata has policies and procedures in place for important processes. The responsibilities of the processor and the controller are described in the contract between the controller and the processor in relation to the processing of personal data. Planned or urgent changes to the system are communicated internally to all relevant stakeholders. This is covered by the incident and change management procedures.
Control Activities
Habiata's operating system and products are always built and deployed from source code stored in source code management systems such as Bitbucket. Before being deployed to production, all deployments are tested on non-production environments and tested by engineers and a dedicated QA team. No production data is used for testing. Deployment is fully automated and controlled. "Infrastructure-as-code" practice is used. All changes made to the software are logged.
Monitoring Activities
Processor access to customer-created documents, data and usage logs is controlled by AWS-identity-access-management mechanisms. Accounts with access to the production environment or customer data are subject to two-factor authentication. Subcontractor personnel may only access the controller's data on the controller's written instructions. Access to customer data is restricted on a role and need-to-know basis. Subcontractor staff are authorised to access the above information by completing an access request and will use their own identification details. Shared accounts or passwords are not permitted on production systems. When an employment contract or a collaboration contract (in the case of self-employed workers) ends, access is immediately withdrawn. The Processor has set up an "off-boarding" procedure. Communications between the Processor's services and those of the Controller are always encrypted using TLS 1.2 or better. Deployments are communicated via Slack to all engineers and staff. Configuration changes are tracked via source code management systems.
System Operations & Change Management
All code and configuration changes are reviewed by at least one member of the processor engineering team. CI tests are used to test and verify the application logic before any changes can be merged. The processor uses several environments to develop and test changes. The production environment is completely isolated from all other environments. Telemetry and anonymous usage data (e.g. exceptions, logs) are used to optimise processor services. Monitoring is used on telemetry and usage reports to quickly detect technical problems with a view to resolving them. Priority is given to mitigating and resolving security problems and incidents. The processor ensures the confidentiality, integrity and availability of processing systems and services at all times. Data is always transmitted encrypted (using TLS 1.2 or better). Data is stored encrypted in Processor environments. All backup data is encrypted. Key management systems are used by the Processor.
